1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MealFlow ("we," "our," or "us") governing your access to and use of our website, web application, and related services (collectively, the "Service").

By accessing or using MealFlow, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you do not have permission to access or use the Service.

You must be at least 13 years old (or 16 in the European Economic Area) to use our Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

2. Description of Service

MealFlow is a personalized meal planning and nutrition management platform that provides:

  • Smart Nutrition Engine: Calculates personalized calorie and macro targets based on your body composition, activity level, and fitness goals
  • Adaptive Meal Plan Generator: Creates customized weekly meal plans that align with your nutritional targets and dietary preferences
  • Weekly Nutrition Calendar: Visual dashboard to track meals and compare nutrition against targets
  • Meal Creation Modes: Multiple modes including Simple, Creative, Meal Prep, Budget, Craving, and Edit for flexible meal planning
  • Auto Grocery Integration: One-click grocery list generation and Instacart integration for convenient ordering
  • Recipe Management: Tools to create, edit, and organize custom meals and recipes

3. Account Registration and Security

3.1 Account Creation

To use MealFlow, you must create an account by providing accurate and complete information, including your name, email address, and a secure password. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are solely responsible for all activities that occur under your account. You agree to:

  • Use a strong, unique password for your account
  • Not share your password or account access with others
  • Immediately notify us of any unauthorized use of your account
  • Log out of your account at the end of each session

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity. You may delete your account at any time through your account settings.

4. Subscription Plans and Pricing

4.1 Sous-Chef Plan

MealFlow offers the following subscription options:

  • Weekly Subscription: $3 per week, billed weekly on a recurring basis
  • Annual Subscription: $89 per year, billed annually (equivalent to approximately $1.71/week, saving you 43%)

4.2 Free Trial

New users are eligible for a 7-day free trial. During the trial period, you have full access to all features of the Service. Your subscription will automatically begin after the trial period ends unless you cancel before the trial expires. No charges will be made during the trial period.

4.3 Founders Tier

The Founders Tier is a limited offer available to the first 500 users who subscribe. Founders Tier members receive a lifetime pricing lock, guaranteeing that their subscription price will never increase, regardless of future price changes to the Service.

4.4 Billing and Automatic Renewal

By subscribing, you authorize us to charge your payment method on a recurring basis according to your chosen billing cycle (weekly or annually). Your subscription will automatically renew unless you cancel before the next billing date.

We reserve the right to change our subscription pricing with 30 days' notice. Price changes will not affect current subscribers during their active subscription period, except for Founders Tier members who have lifetime pricing locks.

4.5 Payment Methods

We accept major credit cards and debit cards through our secure third-party payment processor. You agree to provide current, complete, and accurate payment information and to update it promptly if it changes.

4.6 Failed Payments

If your payment method fails or your account is past due, we may suspend your access to the Service until payment is received. We reserve the right to terminate your account after multiple failed payment attempts.

5. Cancellation and Refunds

5.1 Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting customer support. Cancellations take effect at the end of your current billing period. You will continue to have access to the Service until the end of the paid period.

We do not provide refunds or credits for partial subscription periods, except as outlined in our Money-Back Guarantee below.

5.2 Money-Back Guarantee

We stand behind the value of MealFlow. If you're not satisfied with the Service during your first week and feel that MealFlow hasn't saved you at least 3 hours or helped you stay consistent with your nutrition goals, contact us at ryan@mealflow.ai within 7 days of your initial subscription for:

  • A full refund of your first payment
  • One additional month of free access to give MealFlow another try

This guarantee is only available once per user and applies only to first-time subscribers.

5.3 Refund Processing

Approved refunds will be processed within 5-10 business days and credited to your original payment method.

6. User Responsibilities and Conduct

6.1 Acceptable Use

You agree to use MealFlow only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws, regulations, or third-party rights
  • Share your account credentials or allow others to use your account
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use automated scripts, bots, or scrapers to access the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Copy, modify, distribute, or create derivative works of the Service
  • Use the Service for commercial purposes without our written consent
  • Transmit viruses, malware, or harmful code
  • Harass, abuse, or harm other users

6.2 Accurate Information

You agree to provide accurate and truthful information when using the Service, including your body composition data, health information, and dietary preferences. The accuracy of your meal plans and nutritional recommendations depends on the accuracy of the information you provide.

6.3 Personal Use Only

The Service is intended for your personal, non-commercial use only. You may not resell, redistribute, or commercially exploit the Service or its content without our express written permission.

7. Third-Party Services and Integrations

7.1 Instacart Integration

MealFlow integrates with Instacart to facilitate grocery ordering. When you use this feature, you will be redirected to Instacart's platform, and your use of Instacart is governed by their terms of service and privacy policy. We are not responsible for Instacart's services, pricing, availability, or fulfillment.

7.2 Payment Processing

Payment processing services are provided by third-party payment processors. Your payment information is handled securely by these processors in accordance with PCI-DSS standards. We do not store your complete credit card information.

7.3 Third-Party Disclaimer

We are not responsible for the content, accuracy, or practices of third-party services linked to or integrated with MealFlow. Your use of third-party services is at your own risk.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Service, including its design, features, functionality, algorithms, software, graphics, logos, and content (excluding user-generated content), is owned by MealFlow and is protected by copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal use in accordance with these Terms. This license does not include any right to:

  • Reproduce, distribute, modify, or create derivative works of the Service
  • Use the Service for commercial purposes
  • Access or use the Service's proprietary algorithms or systems

8.2 Your Content

You retain ownership of any content you create or upload to the Service, including custom recipes, meal modifications, and preferences. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely to provide and improve the Service.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

9. Medical Disclaimer and Health Information

9.1 Not Medical Advice

IMPORTANT: MealFlow is a meal planning and nutrition tracking tool. It is NOT a substitute for professional medical advice, diagnosis, or treatment.

The nutritional guidance, meal plans, and calorie calculations provided by MealFlow are for informational purposes only. They should not be construed as medical advice or used as a replacement for consultation with qualified healthcare professionals.

9.2 Consult Healthcare Providers

You should always consult with a qualified healthcare provider, such as a physician, registered dietitian, or nutritionist, before:

  • Making significant changes to your diet
  • Starting a new nutrition or fitness program
  • Using MealFlow if you have any medical conditions, food allergies, or dietary restrictions
  • Using MealFlow if you are pregnant, nursing, or have special nutritional needs

9.3 No Guarantees

We make no guarantees about specific health outcomes, weight loss, muscle gain, or other results from using MealFlow. Individual results will vary based on many factors including genetics, adherence, activity level, and overall lifestyle.

9.4 Allergies and Dietary Restrictions

While we make efforts to accommodate dietary preferences and restrictions you specify, you are solely responsible for verifying that meals and ingredients are safe for your consumption. Always check ingredient labels and consult with healthcare providers if you have food allergies or medical dietary requirements.

10. Disclaimers and Limitations of Liability

10.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

10.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of the Service
  • Warranties that the Service will meet your requirements or expectations
  • Warranties regarding nutritional calculations, meal recommendations, or health outcomes

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEALFLOW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or goodwill
  • Service interruptions or data loss
  • Health issues, adverse reactions, or injuries resulting from following meal plans or nutritional guidance
  • Actions or omissions of third-party services (such as Instacart)
  • Unauthorized access to or alteration of your data

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

10.4 Indemnification

You agree to indemnify, defend, and hold harmless MealFlow and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or data

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

If you have a dispute with us, please contact us at ryan@mealflow.ai to attempt to resolve it informally before pursuing formal dispute resolution.

11.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

11.3 Arbitration Agreement

Any dispute arising from these Terms or your use of the Service will be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if they qualify. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules.

YOU AND MEALFLOW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12. Changes to Terms of Service

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Effective Date" at the top of this page
  • Notify you via email (if you have provided an email address)
  • Display a prominent notice within the Service

Your continued use of the Service after changes to the Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MealFlow regarding the Service.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

13.5 Survival

Provisions that by their nature should survive termination of these Terms will survive, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.
